By creating an account or using the INDEX service (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.
If you are using INDEX on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You must be at least 13 years old to use the Service (16 in the EEA). By using the Service, you represent that you meet this requirement.
INDEX is a memory infrastructure platform. It provides structured storage (Boards) for knowledge that AI applications can read from and write to on your behalf via the Connector API and MCP server.

The Service is provided as a software-as-a-service (SaaS) product. We may update, modify, or discontinue features of the Service at any time with reasonable notice.
To use the Service, you must create an account with a valid email address. You are responsible for:

We reserve the right to suspend or terminate accounts that are inactive for extended periods or that violate these Terms.

You own your content. The text, tags, and other information you store in INDEX Boards ("Your Content") remains your property. We do not claim ownership over Your Content.
By using the Service, you grant INDEX a limited, non-exclusive, worldwide, royalty-free license to store, process, transmit, and display Your Content solely for the purpose of providing the Service to you. This license ends when you delete the content or terminate your account.

We do not use Your Content to train AI models. See our Privacy Policy for details on how AI sub-processors (Anthropic, OpenAI) may process your content during service operations.
The Service allows you to generate Connector API keys that authorize external AI applications to read from and write to your Boards. You are responsible for:
You can rotate or revoke Connector keys at any time from the dashboard. Rotating a key immediately invalidates the previous key.
INDEX provides an MCP server for use with MCP-capable AI clients. Use of the MCP server is subject to these Terms in the same way as use of the Connector API.
You may invite other INDEX users to access your Boards as viewers or editors. When you invite collaborators:
You are responsible for your decisions about who to invite to your Boards. You should not share Boards containing sensitive or confidential information with people who should not have access to it.
Inviting a collaborator does not transfer ownership of the Board or its contents.
The Free plan provides access to a limited set of Service features at no cost. Free plan limits are subject to change with reasonable notice.
Paid plans (Pro, Max, and others we may offer) provide higher limits and additional features. Subscription fees are billed in advance on a monthly or annual cycle through Stripe.
By subscribing to a paid plan, you authorize us to charge the payment method on file for the subscription fee at the beginning of each billing cycle.
We may offer free trials of paid plans. At the end of a trial period, your account will revert to the Free plan unless you have provided a payment method and subscribed.
You may cancel your subscription at any time from Settings → Plan & Billing. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods except where required by applicable law.
If your usage exceeds the limits of your plan, the Service may reject new writes or other actions until usage is reduced or you upgrade. We will provide appropriate error messages when plan limits are reached.
We may change subscription prices with at least 30 days' advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.
We aim to provide the Service with high availability, but we do not guarantee uninterrupted access. The Service may be unavailable due to:
We are not liable for damages resulting from Service downtime or unavailability, except as required by applicable law.
The INDEX name, logo, dashboard interface, Orchestrator, Memory Engine, and all associated software are the intellectual property of INDEX and its licensors. Nothing in these Terms grants you a right to use any INDEX trademark, service mark, or trade name.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
You use the Service at your own risk. INDEX is a memory layer — it stores and retrieves content that you or your AI tools provide. We are not responsible for decisions made on the basis of content stored in or retrieved from the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INDEX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $50 USD.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.
You may terminate your account at any time by deleting it from Settings → Account. Account deletion is permanent and irreversible.
We may suspend or terminate your access to the Service at any time for any reason, including if we believe you have violated these Terms. We will provide reasonable notice unless termination is necessary to prevent harm or comply with legal requirements.
Upon termination:
Sections 5, 10, 11, 12, and 14 of these Terms survive termination.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
If you are a consumer in the EEA, UK, or another jurisdiction with mandatory consumer protection laws, those laws may grant you additional rights that these Terms cannot override.
We may update these Terms from time to time. When we do, we will update the "Last updated" date and, for material changes, notify you by email or by prominent notice on the dashboard at least 14 days before the changes take effect.
Continued use of the Service after updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and delete your account before the changes take effect.
